GEN\u00adER\u00adAL TERMS AND CON\u00adDI\u00adTIONS OF SALE AND DELIV\u00adERY OF IN.VENT DIAG\u00adNOS\u00adTI\u00adCA GMBH
(HERE\u00adINAFTER REFERRED TO AS \u201cIN.VENT\u201d)<\/h4>

Valid: June 1, 2019<\/p>

1. Gen\u00ader\u00adal \u2014 Scope<\/b><\/p><\/div>

1.1 The fol\u00adlow\u00ading gen\u00ader\u00adal terms and con\u00addi\u00adtions of sale and deliv\u00adery apply to all sales and deliv\u00ader\u00adies of in.vent, unless oth\u00ader\u00adwise stat\u00aded in these terms and con\u00addi\u00adtions, in the text of the order con\u00adfir\u00adma\u00adtion or in agree\u00adments in indi\u00advid\u00adual con\u00adtracts between the par\u00adties. In addi\u00adtion, the INCOTERMS\u00ae 2010 of the Inter\u00adna\u00adtion\u00adal Cham\u00adber of Com\u00admerce in Paris or respec\u00adtive\u00adly in the cur\u00adrent ver\u00adsion at the time of deliv\u00adery or per\u00adfor\u00admance apply in cross-bor\u00adder traf\u00adfic.<\/p>

1.2 Con\u00adflict\u00ading or devi\u00adat\u00ading gen\u00ader\u00adal terms and con\u00addi\u00adtions of the buy\u00ader are here\u00adby express\u00adly con\u00adtra\u00addict\u00aded. They shall only become part of the con\u00adtract if in.vent express\u00adly agrees to them in writ\u00ading.<\/p>

1.3 These gen\u00ader\u00adal terms and con\u00addi\u00adtions of sale and deliv\u00adery shall also apply if in.vent car\u00adries out the deliv\u00adery to the buy\u00ader with\u00adout reser\u00adva\u00adtion in the knowl\u00adedge of con\u00adflict\u00ading or devi\u00adat\u00ading terms and con\u00addi\u00adtions of the buy\u00ader.<\/p>

1.4 All agree\u00adments con\u00adclud\u00aded between in.vent and the buy\u00ader for the exe\u00adcu\u00adtion of the sales of goods must be in writ\u00ading. This also applies to a waiv\u00ader of the writ\u00adten form require\u00adment.<\/p>

2. Prices, order quan\u00adti\u00adties and deliv\u00adery dates<\/b><\/p>

2.1 Deliv\u00ader\u00adies and pur\u00adchase prices are under\u00adstood to be free car\u00adri\u00ader (FCA). All prices are exclu\u00adsive of VAT.<\/p>

2.2 Price infor\u00adma\u00adtion (includ\u00ading any dis\u00adcounts) and oth\u00ader con\u00addi\u00adtions in cat\u00ada\u00adlogues, brochures and price lists only reflect the sta\u00adtus of the issue. Orders of the buy\u00ader are under\u00adstood to be valid based on prices and con\u00addi\u00adtions on the day of receipt of the order at in.vent. in.vent informs the buy\u00ader of the rel\u00ade\u00advant cur\u00adrent prices and con\u00addi\u00adtions.<\/p>

2.3 in.vent shall indi\u00adcate sur\u00adcharges for ship\u00adping as well as addi\u00adtion\u00adal costs (e.g. for small quan\u00adti\u00adties) in the invoice.<\/p>

2.4 Fixed deliv\u00adery peri\u00adods do not exist. Deliv\u00adery dates are non-bind\u00ading.<\/p>

2.5 in.vent reserves the right and time\u00adly self-deliv\u00adery.<\/p>

3. Deliv\u00adery, trans\u00adfer of risk<\/b><\/p>

3.1 The choice of ship\u00adping method is reserved for in.vent. in.vent exe\u00adcutes the con\u00adtract of car\u00adriage and informs the buy\u00ader. When send\u00ading frozen sam\u00adples, in.vent cal\u00adcu\u00adlates the amount of coolant required accord\u00ading to the time esti\u00admat\u00aded by the ship\u00adping com\u00adpa\u00adny plus 24h. Pack\u00adag\u00ading, freight, cus\u00adtoms duties, tax\u00ades and coolant will be charged to the buy\u00ader.<\/p>

3.2 Upon dis\u00adpatch of the order or the han\u00addover to the trans\u00adport com\u00adpa\u00adny, the risk of acci\u00adden\u00adtal loss or acci\u00adden\u00adtal dete\u00adri\u00ado\u00adra\u00adtion of the prod\u00aducts pass\u00ades to the buy\u00ader.<\/p>

3.3 If the Sell\u00ader is in default, he shall be liable for dam\u00adages incurred by the Buy\u00ader only in the event of intent and gross neg\u00adli\u00adgence. Fur\u00adther legal claims of the buy\u00ader remain unaf\u00adfect\u00aded.<\/p>

4. Lim\u00adi\u00adta\u00adtion of use<\/b><\/p>

4.1 Goods deliv\u00adered by in.vent may con\u00adtain prod\u00aducts whose use is sub\u00adject to patent or licens\u00ading restric\u00adtions by the Buy\u00ader. Details of such restric\u00adtions can be found in the rel\u00ade\u00advant cat\u00ada\u00adlogue, the pack\u00adage leaflet or, where applic\u00ada\u00adble, the in.vent web\u00adsite. These can also be request\u00aded by the buy\u00ader before and after the con\u00adclu\u00adsion of the con\u00adtract at in.vent.<\/p>

4.2 The prod\u00aducts sup\u00adplied by in.vent are not med\u00adi\u00adc\u00adi\u00adnal prod\u00aducts and may not be used in their entire\u00adty or in parts on or in the human or ani\u00admal organ\u00adism. Appli\u00adca\u00adtions are lim\u00adit\u00aded to diag\u00adnos\u00adtic research and devel\u00adop\u00adment, as well as to the pro\u00adduc\u00adtion of IVD \/ bio\u00adan\u00ada\u00adlyt\u00adics or to the pro\u00adduc\u00adtion of prod\u00aducts for it.<\/p>

4.2 To the extent applic\u00ada\u00adble med\u00adical device reg\u00adu\u00adla\u00adtions \u2014 to which the use of the Prod\u00aducts are sub\u00adject to \u2014 require this, the Prod\u00aducts may only be oper\u00adat\u00aded or applied in accor\u00addance with the intend\u00aded use, spec\u00adi\u00adfi\u00adca\u00adtions and indi\u00adca\u00adtions spec\u00adi\u00adfied in the offer or as spec\u00adi\u00adfied in the Cer\u00adtifi\u00adcate and\/or the Oper\u00ada\u00adtor Man\u00adu\u00adal (\u201cPur\u00adpose\u201d). Should the buy\u00ader make changes to the prod\u00aducts, this is done on his own respon\u00adsi\u00adbil\u00adi\u00adty. in.vent accepts no lia\u00adbil\u00adi\u00adty to the buy\u00ader and does not guar\u00adan\u00adtee legal or reg\u00adu\u00adla\u00adto\u00adry con\u00adfor\u00admi\u00adty with regard to prod\u00aducts that are oper\u00adat\u00aded or applied and\/or mod\u00adi\u00adfied con\u00adtrary to their intend\u00aded pur\u00adpose and\/or with oth\u00ader products\/components com\u00adbined.<\/p>

5. Force majeure, con\u00adtrac\u00adtu\u00adal obsta\u00adcles<\/b><\/p>

Force majeure of any kind, unfore\u00adsee\u00adable oper\u00ada\u00adtional, traf\u00adfic or ship\u00adping dis\u00adrup\u00adtions, fire dam\u00adage, floods, unfore\u00adsee\u00adable short\u00adages of pow\u00ader, ener\u00adgy, raw mate\u00adri\u00adals or aux\u00adil\u00adiary mate\u00adri\u00adals, strikes, lock\u00adouts, offi\u00adcial orders or oth\u00ader Obsta\u00adcles for which par\u00adties are not respon\u00adsi\u00adble for per\u00adfor\u00admance, which make the pro\u00adduc\u00adtion, dis\u00adpatch, deliv\u00adery, accep\u00adtance, delay or unrea\u00adson\u00adable, release in.vent from the oblig\u00ada\u00adtion to deliv\u00ader or accept the defect for the dura\u00adtion and extent of the dis\u00adrup\u00adtion. This also applies if the cir\u00adcum\u00adstances occur with sup\u00adpli\u00aders. If the deliv\u00adery or accep\u00adtance is exceed\u00aded by more than 8 weeks as a result of the dis\u00adrup\u00adtion, both par\u00adties are enti\u00adtled to with\u00addraw from the con\u00adtract and there are no claims for dam\u00adages in this respect.<\/p>

6. Notice of defects and claims for defects<\/b><\/p>

6.1 in.vent and the Buy\u00ader will ful\u00adfil their con\u00adtrac\u00adtu\u00adal oblig\u00ada\u00adtions with the care of a reg\u00adu\u00adlar busi\u00adness\u00adman. The buy\u00ader must care\u00adful\u00adly inspect the received goods for quan\u00adti\u00adty, qual\u00adi\u00adty and defects imme\u00addi\u00adate\u00adly upon arrival. He has to claim obvi\u00adous defects at in.vent, in writ\u00ading at the address in.vent Diag\u00adnos\u00adti\u00adca GmbH, Neuen\u00addorf\u00adstr. 17, 16761 Hen\u00adnigs\u00addorf, and imme\u00addi\u00adate\u00adly, but at the lat\u00adest with\u00adin 10 cal\u00aden\u00addar days after the arrival of the goods, stat\u00ading sam\u00adple num\u00adbers, invoice num\u00adber and invoice date. Hid\u00adden defects must also be report\u00aded imme\u00addi\u00adate\u00adly, at the lat\u00adest with\u00adin 10 cal\u00aden\u00addar days after the defect has been iden\u00adti\u00adfied.<\/p>

6.2 At in.vent\u2019s request, the Buy\u00ader shall send in.vent doc\u00adu\u00adments such as deliv\u00adery notes and pack\u00ading slips in the orig\u00adi\u00adnal or in copy, as well as any sig\u00adna\u00adtures on pack\u00adages or to for\u00adward the goods to in.vent for pro\u00adfes\u00adsion\u00adal rec\u00adti\u00adfi\u00adca\u00adtion of the good.<\/p>

6.3 in.vent shall be liable for the absence of defects with\u00adin a peri\u00adod of 12 months in the event of time\u00adly, duly col\u00adlect\u00aded and jus\u00adti\u00adfied com\u00adplaints of defects. In his jus\u00adti\u00adfi\u00adca\u00adtion for defects, the buy\u00ader shall describe the defect in such a way that in.vent is able to retrace the defect. The statu\u00adto\u00adry lim\u00adi\u00adta\u00adtion peri\u00adod valid in Ger\u00admany applies if in.vent has fraud\u00adu\u00adlent\u00adly con\u00adcealed the defect.<\/p>

6.4 In the event of defec\u00adtive goods, in.vent may first repair or resup\u00adply at its choice (sub\u00adse\u00adquent per\u00adfor\u00admance). in.vent has the right to repeat a failed sub\u00adse\u00adquent per\u00adfor\u00admance. in.vent may refuse sub\u00adse\u00adquent per\u00adfor\u00admance if it entails dis\u00adpro\u00adpor\u00adtion\u00adate costs.<\/p>

6.5 Claims of the buy\u00ader due to defects are exclud\u00aded in the case of non-sub\u00adstan\u00adtial mate\u00adr\u00adi\u00adal defects. In par\u00adtic\u00adu\u00adlar, this is the case with a neg\u00adli\u00adgi\u00adble mate\u00adr\u00adi\u00adal defect where the val\u00adue or suit\u00adabil\u00adi\u00adty for ordi\u00adnary use is of an insignif\u00adi\u00adcant reduc\u00adtion.<\/p>

6.6 If the sub\u00adse\u00adquent rec\u00adti\u00adfi\u00adca\u00adtion has failed, is refused, unrea\u00adson\u00adable or if the buy\u00ader has unsuc\u00adcess\u00adful\u00adly set a rea\u00adson\u00adable time lim\u00adit for sub\u00adse\u00adquent per\u00adfor\u00admance by in.vent or if a time lim\u00adit is not nec\u00ades\u00adsary, the buy\u00ader is enti\u00adtled to demand a reduc\u00adtion or to with\u00addraw from the con\u00adtract.<\/p>

7. With\u00addraw\u00adal and dam\u00adages instead of per\u00adfor\u00admance<\/b><\/p>

7.1 If in.vent does not per\u00adform a ser\u00advice due or does not com\u00adply with the con\u00adtract (\u201cbreach of duty\u201d), the buy\u00ader is only enti\u00adtled to with\u00addraw from the con\u00adtract or to com\u00adpen\u00adsa\u00adtion instead of per\u00adfor\u00admance, a) if it is a sig\u00adnif\u00adi\u00adcant breach of duty by in.vent, b) if he asks in.vent in writ\u00ading to improve the ser\u00advice with\u00adin a rea\u00adson\u00adable peri\u00adod in accor\u00addance with the nature of the ser\u00advice, and c) if in.vent has not per\u00adformed with\u00adin that peri\u00adod.<\/p>

7.2 Unaf\u00adfect\u00aded by this sec\u00adtion 7, the statu\u00adto\u00adry pro\u00advi\u00adsions of the Ger\u00adman Civ\u00adil Code (BGB) in force at the time of per\u00adfor\u00admance apply.<\/p>

7.3 If in.vent has not per\u00adformed or has not per\u00adformed in accor\u00addance with the con\u00adtract with\u00adin the peri\u00adod set by the Buy\u00ader, in.vent may request the Buy\u00ader to declare whether he con\u00adtin\u00adues to insist on the pro\u00advi\u00adsion of the ser\u00advice, sub\u00adject to a rea\u00adson\u00adable peri\u00adod of time. Until the buy\u00ader\u2019s deci\u00adsion has been made, in.vent is not oblig\u00aded to per\u00adform.<\/p>

7.4 In cas\u00ades of the pur\u00adchase of con\u00adsumer goods, the rights of the buy\u00ader in accor\u00addance with Sec\u00adtion 478 (recourse of the entre\u00adpre\u00adneur) and 479 BGB (lim\u00adi\u00adta\u00adtion of claims for recourse) remain unaf\u00adfect\u00aded.<\/p>

8. Lia\u00adbil\u00adi\u00adty<\/b><\/p>

8.1 Lia\u00adbil\u00adi\u00adty of in.vent \u2014 regard\u00adless of the legal rea\u00adson \u2014 shall only occur if the dam\u00adage is caused by slight\u00adly neg\u00adli\u00adgent breach of a fun\u00adda\u00admen\u00adtal con\u00adtrac\u00adtu\u00adal oblig\u00ada\u00adtion or is due to gross neg\u00adli\u00adgence or intent on the part of in.vent.<\/p>

8.2 Claims for dam\u00adages under the Prod\u00aduct Lia\u00adbil\u00adi\u00adty Act, as well as for injury to life, body or health or due to the assump\u00adtion of a guar\u00adan\u00adtee remain unaf\u00adfect\u00aded.<\/p>

8.3 Inso\u00adfar as in.vent\u2019s lia\u00adbil\u00adi\u00adty is exclud\u00aded or lim\u00adit\u00aded, this also applies to the per\u00adson\u00adal lia\u00adbil\u00adi\u00adty of its employ\u00adees, rep\u00adre\u00adsen\u00adta\u00adtives and vic\u00adar\u00adi\u00adous agents.<\/p>

8.4 in.vent is also only liable for the loss of data and pro\u00adgrams and their recov\u00adery with\u00adin the scope of this clause 8. in.vent shall not be liable for such dam\u00adages if and to the extent that the buy\u00ader has not tak\u00aden ade\u00adquate pre\u00adcau\u00adtions against data loss, in par\u00adtic\u00adu\u00adlar by mak\u00ading back\u00adup copies of all pro\u00adgrams and data. The mak\u00ading of back\u00adup copies must be car\u00adried out at the usu\u00adal inter\u00advals in the buy\u00ader\u2019s area of activ\u00adi\u00adty but should be car\u00adried out at least once a day.<\/p>

9. Pay\u00adment<\/b><\/p>

9.1 Pay\u00adment must be made with\u00adin 14 cal\u00aden\u00addar days from the invoice date.<\/p>

9.2 in.vent reserves the right to use pay\u00adments to set\u00adtle the old\u00adest claims due plus the default inter\u00adest and costs accrued there\u00adon, in the order of costs, inter\u00adest, receiv\u00adables.<\/p>

9.3 The Buy\u00ader may only off\u00adset against claims of in.vent by writ\u00adten dec\u00adla\u00adra\u00adtion to in.vent if his coun\u00adter\u00adclaim is undis\u00adput\u00aded or if a legal\u00adly bind\u00ading title exists.<\/p>

9.4 The asser\u00adtion of a right of reten\u00adtion due to non-recog\u00adnised or not legal\u00adly estab\u00adlished coun\u00adter\u00adclaims is exclud\u00aded, inso\u00adfar as these claims are not based on the same con\u00adtrac\u00adtu\u00adal rela\u00adtion\u00adship.<\/p>

9.5 in.vent has the right to refuse deliv\u00adery if, after the con\u00adclu\u00adsion of the con\u00adtract, it becomes appar\u00adent that its right to pay\u00adment of the deliv\u00adery is jeop\u00adar\u00addised by the buy\u00ader\u2019s inabil\u00adi\u00adty to per\u00adform. This right to refuse per\u00adfor\u00admance shall be waived if the pay\u00adment is effect\u00aded or if the buy\u00ader pro\u00advides rea\u00adson\u00adable secu\u00adri\u00adty. in.vent has the right to set the buy\u00ader a rea\u00adson\u00adable peri\u00adod of time dur\u00ading which the buy\u00ader must either make the pay\u00adment for deliv\u00adery and pro\u00advide a secu\u00adri\u00adty for the deliv\u00adery. After the expiry of the peri\u00adod, in.vent has the right to with\u00addraw from the con\u00adtract. In addi\u00adtion, in the above-men\u00adtioned case of the loss of the buy\u00ader\u2019s assets, in.vent has the right to pro\u00advide the deliv\u00adery of goods only against advance pay\u00adment or per\u00adfor\u00admance of an ade\u00adquate secu\u00adri\u00adty.<\/p>

10. Late pay\u00adment<\/b><\/p>

10.1 If the buy\u00ader is in default with a pay\u00adment, a cheque is not prop\u00ader\u00adly cashed, no com\u00adpen\u00adsa\u00adtion is made in the SEPA com\u00adpa\u00adny direct deb\u00adit pro\u00adce\u00addure or if a sig\u00adnif\u00adi\u00adcant dete\u00adri\u00ado\u00adra\u00adtion occurs in the finan\u00adcial cir\u00adcum\u00adstances of the debtor, all out\u00adstand\u00ading Claims, includ\u00ading any deferred claims by in.vent against the buy\u00ader, are due for imme\u00addi\u00adate pay\u00adment.<\/p>

10.2 If the Buy\u00ader is in default with the pay\u00adment or exceeds the agreed pay\u00adment tar\u00adget in the case of a mutu\u00adal trad\u00ading trans\u00adac\u00adtion, inter\u00adest of nine per\u00adcent\u00adage points above the applic\u00ada\u00adble base inter\u00adest rate shall be due. in.vent reserves the right to claim com\u00adpen\u00adsa\u00adtion for fur\u00adther dam\u00adage.<\/p>

11. Reten\u00adtion of title<\/b><\/p>

11.1 in.vent reserves the title to the deliv\u00adered goods until all pay\u00adments from the busi\u00adness rela\u00adtion\u00adship with the buy\u00ader have been received. in.vent\u2019s prop\u00ader\u00adty also extends to new prod\u00aducts result\u00ading from the pro\u00adcess\u00ading of the goods sub\u00adject to reten\u00adtion of title. The pro\u00adcess\u00ading is car\u00adried out for in.vent as a man\u00adu\u00adfac\u00adtur\u00ader. In the case of pro\u00adcess\u00ading, com\u00adbi\u00adna\u00adtion or mix\u00ading with items that do not belong to in.vent, in.vent acquires co-own\u00ader\u00adship in pro\u00adpor\u00adtion to the invoice val\u00adue of its reserved goods to the invoice val\u00adues of the oth\u00ader mate\u00adri\u00adals.<\/p>

11.2 The reten\u00adtion of title shall remain in force even if the rel\u00ade\u00advant claim(s) of in.vent is includ\u00aded in a cur\u00adrent account and the bal\u00adance is drawn and recog\u00adnised.<\/p>

11.3 in.vent is enti\u00adtled to with\u00addraw from the con\u00adtract and to take back the goods in the event of a breach of con\u00adtract by the buy\u00ader, in par\u00adtic\u00adu\u00adlar in the event of a delay in pay\u00adment. The attach\u00adment of the goods sub\u00adject to reten\u00adtion of title by in.vent always means the dec\u00adla\u00adra\u00adtion of with\u00addraw\u00adal from the con\u00adtract.<\/p>

11.4 The buy\u00ader must treat the reserved goods with care. He is oblig\u00aded to insure the reserved goods at his own expense against fire, water and theft dam\u00adage suf\u00adfi\u00adcient\u00adly at the new val\u00adue, and already assigns his com\u00adpen\u00adsa\u00adtion claims under these insur\u00adance con\u00adtracts to in.vent.<\/p>

11.5 In the event of attach\u00adments or oth\u00ader inter\u00adven\u00adtions by third par\u00adties, the buy\u00ader must noti\u00adfy in.vent imme\u00addi\u00adate\u00adly in writ\u00ading so that in.vent can bring an action for third-par\u00adty oppo\u00adsi\u00adtion (Sec\u00adtion 771 of the Code of Civ\u00adil Pro\u00adce\u00addure). Inso\u00adfar as the third par\u00adty is not able to reim\u00adburse in.vent for the legal and extra\u00adju\u00addi\u00adcial costs of an action pur\u00adsuant to Sec\u00adtion 771 of the Ger\u00adman Civ\u00adil Code (ZPO), the buy\u00ader shall be liable for the loss incurred by in.vent.<\/p>

11.6 The buy\u00ader is enti\u00adtled to resell the goods in the ordi\u00adnary course of busi\u00adness; how\u00adev\u00ader, he already assigns all claims in the amount of the invoice val\u00adue (includ\u00ading VAT) from the sale of the goods, includ\u00ading bills of exchange and cheques, to secure the respec\u00adtive claims to in.vent. In the case of dis\u00adpos\u00adals of goods in which in.vent has co-own\u00ader\u00adship, the assign\u00adment is lim\u00adit\u00aded to the share of the receiv\u00adables cor\u00adre\u00adspond\u00ading to its share of co-own\u00ader\u00adship. The buy\u00ader remains enti\u00adtled to col\u00adlect these claims even after the assign\u00adment. The pow\u00ader of in.vent to col\u00adlect the claim itself remains unaf\u00adfect\u00aded by this. How\u00adev\u00ader, in.vent is oblig\u00aded not to col\u00adlect the claim as long as the buy\u00ader ful\u00adfils his pay\u00adment oblig\u00ada\u00adtions to in.vent, does not default on pay\u00adment and, in par\u00adtic\u00adu\u00adlar, no appli\u00adca\u00adtion for the open\u00ading of insol\u00adven\u00adcy pro\u00adceed\u00adings has been filed. If this is the case, in.vent may require the buy\u00ader to inform him of the assigned claims and their debtors, to pro\u00advide all infor\u00adma\u00adtion nec\u00ades\u00adsary for col\u00adlec\u00adtion, to hand over the rel\u00ade\u00advant doc\u00adu\u00adments and to inform the third par\u00adties of the assign\u00adment.<\/p>

11.7 If the deliv\u00adery item is deliv\u00adered to a place out\u00adside the Fed\u00ader\u00adal Repub\u00adlic of Ger\u00admany as intend\u00aded or brought to such a place by the buy\u00ader, the fol\u00adlow\u00ading applies pri\u00admar\u00adi\u00adly to para\u00adgraphs 11.1 to 11.6: The buy\u00ader will ensure that the reten\u00adtion of title is effec\u00adtive\u00adly pro\u00adtect\u00aded by in.vent in the coun\u00adtry in which the deliv\u00adery item is locat\u00aded or to which it is to be trans\u00adport\u00aded. Inso\u00adfar as cer\u00adtain actions are nec\u00ades\u00adsary for this pur\u00adpose (e.g. a spe\u00adcial mark\u00ading of the deliv\u00adery item or a local reg\u00adis\u00adter entry), the buy\u00ader will car\u00adry them out in favour of in.vent. Should in.vent be request\u00aded to coop\u00ader\u00adate, the buy\u00ader will inform in.vent imme\u00addi\u00adate\u00adly. In addi\u00adtion, the buy\u00ader will inform in.vent about all essen\u00adtial cir\u00adcum\u00adstances that are impor\u00adtant in the con\u00adtext of the widest pos\u00adsi\u00adble pro\u00adtec\u00adtion of in.vent\u2019s prop\u00ader\u00adty. In par\u00adtic\u00adu\u00adlar, he will pro\u00advide in.vent with all doc\u00adu\u00adments and infor\u00adma\u00adtion nec\u00ades\u00adsary to enforce these prop\u00ader\u00adty rights.<\/p>

12. Resale and sub\u00admis\u00adsion<\/b><\/p>

12.1 The Buy\u00ader is oblig\u00aded to com\u00adply with the Law against Unfair Com\u00adpe\u00adti\u00adtion and, if applic\u00ada\u00adble, med\u00adical device law reg\u00adu\u00adla\u00adtions on his own respon\u00adsi\u00adbil\u00adi\u00adty in the event of resale or sup\u00adply.<\/p>

12.2 The buy\u00ader is oblig\u00aded to observe that prod\u00aducts sup\u00adplied by in.vent are not med\u00adi\u00adc\u00adi\u00adnal prod\u00aducts and may not be used in their entire\u00adty or in parts on or in the human or ani\u00admal organ\u00adism. Appli\u00adca\u00adtions are lim\u00adit\u00aded to diag\u00adnos\u00adtic research and devel\u00adop\u00adment, as well as to the pro\u00adduc\u00adtion of IVD \/ bio\u00adan\u00ada\u00adlyt\u00adics or to the pro\u00adduc\u00adtion of prod\u00aducts for it.<\/p>

12.3 With\u00adout the pri\u00ador express writ\u00adten con\u00adsent of in.vent, it is not per\u00admit\u00adted to use pro\u00adtect\u00aded trade\u00admarks of in.vent for goods of for\u00adeign man\u00adu\u00adfac\u00adture or for processed orig\u00adi\u00adnal goods.<\/p>

12.4 The buy\u00ader is also oblig\u00aded to sell or hand over the deliv\u00adered goods only in full (i.e. includ\u00ading pack\u00adag\u00ading, pack\u00adage leaflets, user man\u00adu\u00adals, warn\u00adings, etc.) in the event of resale.<\/p>

12.5 The Buy\u00ader is advised that goods or deliv\u00adery items (and, if applic\u00ada\u00adble, the know-how con\u00adtained in them) may be sub\u00adject to export or import con\u00adtrol. Each Par\u00adty is respon\u00adsi\u00adble for com\u00adply\u00ading with the rel\u00ade\u00advant export and import con\u00adtrol reg\u00adu\u00adla\u00adtions.<\/p>

13. Con\u00adfi\u00adden\u00adtial\u00adi\u00adty and data pro\u00adtec\u00adtion<\/b><\/p>

13.1 The Con\u00adtract\u00ading Par\u00adties under\u00adtake to pro\u00advide any infor\u00adma\u00adtion that may be made avail\u00adable to them in con\u00adnec\u00adtion with this Agree\u00adment or any oth\u00ader occa\u00adsion in con\u00adnec\u00adtion with the Busi\u00adness Rela\u00adtion\u00adship which is des\u00adig\u00adnat\u00aded as con\u00adfi\u00adden\u00adtial or which may be clas\u00adsi\u00adfied as a busi\u00adness or trade secrets, to keep them secret and to not record them or to exploit them in any way, to the extent not nec\u00ades\u00adsary for the pur\u00adpose of the con\u00adtract. If con\u00adfi\u00adden\u00adtial infor\u00adma\u00adtion is to be dis\u00adclosed as a result of a deci\u00adsion or order of a pub\u00adlic author\u00adi\u00adty, a court or in accor\u00addance with manda\u00adto\u00adry legal or reg\u00adu\u00adla\u00adto\u00adry pro\u00advi\u00adsions, the oth\u00ader par\u00adty shall, to the extent per\u00admit\u00adted, inform in writ\u00ading and with\u00adout delay; fur\u00adther\u00admore, the par\u00adty oblig\u00aded to dis\u00adclose will do its utmost to ensure that the con\u00adfi\u00adden\u00adtial infor\u00adma\u00adtion is kept con\u00adfi\u00adden\u00adtial by the body con\u00adcerned.<\/p>

13.2 in.vent under\u00adtakes to com\u00adply with applic\u00ada\u00adble data pro\u00adtec\u00adtion reg\u00adu\u00adla\u00adtions and in par\u00adtic\u00adu\u00adlar the pro\u00advi\u00adsions of the GDPR and the BDSG. All human bio\u00adma\u00adte\u00adri\u00adals are deliv\u00adered to the buy\u00ader in an anonymised form by in.vent. Access to per\u00adson\u00adal iden\u00adti\u00adfi\u00adca\u00adtion data by the buy\u00ader is nev\u00ader pos\u00adsi\u00adble. Per\u00adson\u00adal iden\u00adti\u00adfi\u00adca\u00adtion genet\u00adic tests on the sup\u00adplied mate\u00adri\u00adals are exclud\u00aded at any time. All human bio\u00adma\u00adte\u00adri\u00adals dis\u00adtrib\u00aduted by in.vent are eth\u00adi\u00adcal\u00adly recov\u00adered in accor\u00addance with the applic\u00ada\u00adble reg\u00adu\u00adla\u00adtions, tak\u00ading into account the Dec\u00adla\u00adra\u00adtions of Helsin\u00adki and Taipei. Ethics votes and dec\u00adla\u00adra\u00adtions of con\u00adsent are only avail\u00adable if this is required by the nation\u00adal reg\u00adu\u00adla\u00adtions of the coun\u00adtry of ori\u00adgin, tak\u00ading into account the way in which sam\u00adples are tak\u00aden.<\/p>

14.3 Should indi\u00advid\u00adual pro\u00advi\u00adsions of the con\u00adtract be or become inef\u00adfec\u00adtive or void in whole or in part, this shall not affect the valid\u00adi\u00adty of the remain\u00ading pro\u00advi\u00adsions. Instead of the invalid or void pro\u00advi\u00adsions, the legal\u00adly effec\u00adtive pro\u00advi\u00adsion that comes clos\u00adest to the eco\u00adnom\u00adic pur\u00adpose of the invalid or void pro\u00advi\u00adsions shall apply.
